These Terms of Service (“Terms”) apply to all services provided by Solvtech Pty Ltd (ABN 88 703 363 213) (“we”, “us”, “our”) to any client (“you”, “your”) who engages our professional business and consulting services. By engaging us, requesting a quote, or accepting a proposal from us, you agree to be bound by these Terms.
If you have any questions about these Terms, please contact us at ceo@solvtech.online.
1. Services
We provide professional business and consulting services as described in our proposals, statements of work, or service agreements. The specific scope, deliverables, and timelines for any engagement will be set out in the written proposal or agreement accepted by you. Any work performed outside the agreed scope may be subject to additional fees, which will be communicated to you in writing before that work commences.
2. Quotes and Proposals
Quotes and proposals issued by us are valid for 30 days from the date of issue unless otherwise stated. All quotes are estimates based on the information you provide to us at the time. If the scope of work changes or additional information affects the effort required, we reserve the right to issue a revised quote. Acceptance of a quote may be made in writing or by written email confirmation.
3. Fees, Invoicing and Payment
Fees for our services will be set out in the applicable quote or proposal. Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date. We may require a deposit or upfront payment before commencing work on certain engagements. Late payments may attract interest at a rate we reasonably determine, and we may suspend or terminate services where invoices remain overdue.
All fees are quoted in Australian dollars and, unless expressly stated otherwise, are exclusive of GST. Where GST applies, it will be added to the invoice in accordance with A New Tax System (Goods and Services Tax) Act 1999 (Cth).
4. Your Obligations
To enable us to deliver our services effectively, you agree to:
- Provide accurate, complete, and timely information, documentation, and access reasonably required by us;
- Respond to our requests and provide feedback within agreed timeframes;
- Ensure you have the right to share with us any information or materials you provide;
- Comply with all applicable laws in connection with your use of our services and deliverables.
Delays caused by a failure to meet these obligations may affect timelines and, in some cases, result in additional fees.
5. Intellectual Property
All pre-existing intellectual property, including our methodologies, frameworks, templates, tools, and know-how, remains the property of Solvtech Pty Ltd. Upon full payment of all fees due, you receive a non-exclusive, non-transferable licence to use the deliverables prepared specifically for you for your internal business purposes, unless otherwise agreed in writing. You retain ownership of the information and materials you supply to us.
6. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with an engagement, and to use such information only for the purpose of delivering or receiving the services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or a regulatory authority. Confidentiality obligations survive the completion or termination of any engagement.
7. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other applicable consumer protection legislation. Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including guarantees as to due care and skill and reasonable fitness for purpose where applicable. To the extent permitted by law, our liability for breach of a consumer guarantee is limited, at our option, to the re-supply of the services or the payment of the cost of having the services supplied again.
8. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, or consequential loss or damage, including loss of profits, revenue, data, or business opportunities;
- Our total aggregate liability arising out of or in connection with any engagement is limited to the fees paid by you for the specific service giving rise to the claim;
- We are not responsible for outcomes arising from information, materials, or instructions provided by you that are inaccurate, incomplete, or misleading;
- We do not provide legal, financial, taxation, or investment advice unless expressly agreed in writing, and our services do not substitute for such advice.
This clause does not apply to liability that cannot be excluded under the Australian Consumer Law or any other applicable law.
9. Third-Party Tools and Services
Where our services involve third-party software, platforms, or service providers, your use of those tools may be subject to the third party’s own terms and conditions. We are not responsible for the availability, performance, or content of third-party services, and we recommend that you review the applicable third-party terms before use.
10. Suspension and Termination
Either party may terminate an engagement by giving 14 days’ written notice to the other party, unless a shorter or longer period is specified in the applicable proposal or agreement. We may suspend or terminate services immediately if you fail to pay amounts due, breach these Terms, or if continuing the engagement would place us in breach of any law or professional obligation. Upon termination, you remain liable to pay for all services performed and expenses incurred up to the effective date of termination.
11. Force Majeure
We will not be liable for any delay or failure to perform our obligations where that delay or failure is caused by events beyond our reasonable control, including natural disasters, pandemics, industrial action, power or network outages, or acts of government.
12. Privacy
We handle your personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By engaging our services, you consent to us collecting, using, and disclosing your information as described in that policy.
13. Amendments
We may update these Terms from time to time. The current version will be published on this page, and material changes will be notified to active clients by email. Continued use of our services after an update constitutes acceptance of the revised Terms. The version applicable to any given engagement is the version in force at the time the engagement was accepted, unless otherwise agreed.
14. Governing Law
These Terms are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia in respect of any dispute arising out of or in connection with these Terms or our services.
15. Contact
